1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Radity GmbH ("Company", "we", "us"), a company registered in Zurich, Switzerland, with its registered office at Holbeinstrasse 31, 8008 Zurich. These Terms govern your access to and use of the Zeitron platform, including all related services, applications, and websites (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Zeitron is a cloud-based human resources and time-tracking platform that provides tools for time recording, leave management, employee administration, reporting, and related workforce management functions. The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials. You must be at least 16 years of age to create an account.

4. Free Trial

We offer a free trial period of 30 days for new accounts. During the trial, you have access to the full feature set of the Service. No credit card is required to start a trial.

At the end of the trial period, your account will be downgraded to a limited free tier unless you subscribe to a paid plan. Data entered during the trial will be retained for 90 days after trial expiration, after which it may be permanently deleted if no paid subscription is activated.

5. Subscription and Billing

Paid subscriptions are billed on an annual basis. Subscription fees are charged in advance at the beginning of each billing cycle. All prices are listed in Swiss Francs (CHF) or Euros (EUR) unless otherwise stated and are exclusive of applicable taxes.

Payment is accepted via credit card (Visa, Mastercard, American Express) or bank transfer for annual enterprise plans. You authorize us to charge your designated payment method for the applicable subscription fees.

We reserve the right to change our pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

6. Refunds

Subscription fees are non-refundable, except where required by applicable law. If you cancel your subscription, you retain access to the Service until the end of your current billing period. No pro-rata refunds are provided for unused portions of a billing cycle.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not:

• Use the Service in any way that violates applicable local, national, or international law or regulation.
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems and networks.
• Upload, transmit, or distribute any malicious code, viruses, or other harmful material.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Use the Service to store or transmit content that is defamatory, obscene, or otherwise objectionable.
• Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service.
• Resell, sublicense, or redistribute the Service without our prior written consent.
• Use automated means (bots, scrapers, etc.) to access the Service except through our published APIs.

We reserve the right to suspend or terminate your account if we reasonably determine that you have violated these acceptable use provisions.

8. Customer Data

You retain all ownership rights to the data you enter into the Service ("Customer Data"). You grant us a limited license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service.

We will not access your Customer Data except as necessary to provide the Service, respond to support requests, or comply with applicable law. We handle Customer Data in accordance with our Privacy Policy and applicable data processing agreements.

9. Intellectual Property

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is the exclusive property of Radity GmbH and is protected by Swiss and international intellectual property laws. All rights not expressly granted under these Terms are reserved.

"Zeitron" and the Zeitron logo are trademarks of Radity GmbH. You may not use our trademarks without prior written permission, except as required for reasonable and customary use in describing the origin of the Service.

10. Availability and Support

We strive to maintain a Service uptime of 99.9% measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance when possible.

Customer support is available via email at hello@zeitron.io and through the in-app chat during business hours (Monday to Friday, 09:00 - 18:00 CET). Enterprise plan customers receive priority support with enhanced response time commitments as defined in their service level agreement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Radity GmbH and its directors, employees, partners, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless Radity GmbH and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at hello@zeitron.io. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service immediately, without prior notice, if you materially breach these Terms, if your account is used for fraudulent or illegal activity, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. You may export your Customer Data within 30 days of termination. After this period, we may permanently delete your data in accordance with our data retention policies.

14. Modifications to Terms

We may modify these Terms at any time by posting the revised version on our website. We will notify you of material changes at least 30 days before they take effect, by email or through the Service. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts of Zurich, Switzerland. Notwithstanding the foregoing, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any applicable service level agreement or data processing agreement, constitute the entire agreement between you and Radity GmbH regarding the use of the Service. These Terms supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral.
